Welcome to Toronto Coffee Pass, operated by Locale 32 ("Locale 32," "we," "us," or "our"). These Terms of Use ("Terms") govern your purchase, activation, and use of the Toronto Coffee Pass (the "Pass"), our mobile application (the "App"), and any related services (collectively, the "Services").

By purchasing a Pass, creating an account, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 13 years of age to create an account or activate a Pass. If you are under the age of majority in your province of residence, you represent that you have obtained permission from a parent or legal guardian to use the Services.

By using the Services, you represent that you:

  • Are at least 13 years of age;

  • Can form a binding contract with Locale 32, or have appropriate parental/guardian consent to do so;

  • Are not barred from using the Services under any applicable law; and

  • Have not previously had an account disabled by us for violating these Terms.

2. The Pass

2.1 What the Pass Is. The Toronto Coffee Pass grants the holder one (1) redemption, a complimentary drink or offer as specified by each participating café, at each participating café location, valid for the stated Pass year (e.g., January 1 through December 31 of the applicable year). Offers, participating café lists, and redemption details are subject to change at Locale 32's discretion and are not guaranteed to remain identical throughout the Pass year.

2.2 Physical vs. Digital Pass. A Physical Pass is a printed card shipped to the purchaser; a Digital Pass is delivered via email with an activation code. Both must be activated in the App using a valid activation code before any redemptions can be made.

2.3 One Redemption Per Café. Each Pass entitles the holder to one redemption per participating café for the duration of the Pass year, regardless of how many times the holder visits that café. Redemption is confirmed by café staff via a redemption PIN entered in the App.

2.4 Non-Transferable. A Pass and its activation code are intended for a single account holder and are non-transferable once activated. We reserve the right to deactivate a Pass suspected of being shared, resold, or used fraudulently.

2.5 Purchases. Pass purchases (Physical and Digital) are made through our website, not within the App. The App is used solely for activation, browsing participating cafés, and redemption.

3. Refunds and Cancellations

All Pass sales are final, except where a refund is required by applicable law. We do not otherwise offer refunds, exchanges, or cancellations, including but not limited to: partial use of the Pass, dissatisfaction with a participating café's offer, a café closing or withdrawing from the program during the Pass year, or accidental or mistaken redemption at an incorrect location. We encourage you to review participating café details carefully before activating your Pass.

4. Account Registration and Security

To use the App, you must create an account with accurate, current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at cheers@locale32.ca if you suspect unauthorized use of your account.

5. Participating Cafés

5.1 No Guarantee of Availability. Locale 32 does not own, operate, or control participating cafés. Café hours, inventory, offer terms, and continued participation in the program are determined solely by each café and may change or end without notice.

5.2 Redemption at Café Discretion. Café staff may decline a redemption if the Pass or activation code cannot be verified, if the redemption limit for that café has already been used, or for other reasonable operational reasons.

5.3 Food and Beverage Risk. You acknowledge that the consumption of food and beverages carries inherent risks, including allergens and ingredient variation. Locale 32 is not responsible for the quality, safety, or preparation of any food or beverage provided by a participating café. You are responsible for communicating any allergies or dietary restrictions directly to café staff.

6. User Conduct

You agree not to:

  • Attempt to activate a Pass using an activation code you were not authorized to receive;

  • Share, resell, or transfer an activated Pass or its login credentials;

  • Submit false, misleading, or duplicate reviews;

  • Use the Services for any unlawful purpose or in a way that could damage, disable, or impair the App or the experience of other users or participating cafés;

  • Attempt to circumvent redemption limits, including through fraudulent or duplicate accounts.

We reserve the right to suspend or terminate any account, without refund, for violation of these Terms.

7. Reviews and User Content

If the App allows you to submit reviews or other content ("User Content"), you retain ownership of your User Content but grant Locale 32 a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute it in connection with the Services. You represent that your User Content is truthful, based on your own genuine experience, and does not violate any third party's rights. We reserve the right to remove, hide, or moderate any User Content at our discretion, including in response to a report or flag from another user.

8. Intellectual Property

The App, the Toronto Coffee Pass brand, associated logos, and all related content (excluding User Content and participating café materials) are owned by Locale 32 and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Services without our prior written consent.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICIPATING CAFÉ WILL REMAIN AVAILABLE FOR THE ENTIRE PASS YEAR.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LOCALE 32, ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF USE, LOST PROFITS, OR PERSONAL INJURY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES OR YOUR VISIT TO ANY PARTICIPATING CAFÉ, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL LOCALE 32'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR YOUR PASS.

11. Assumption of Risk and Release

By using the Services and visiting participating cafés, you acknowledge that doing so involves inherent risks, including risks related to food and beverage consumption, travel between locations, and general premises risks at third-party establishments. To the fullest extent permitted by law, you release and hold harmless Locale 32 from any claims, liabilities, damages, or expenses arising from your participation in the Toronto Coffee Pass program, except to the extent caused by our gross negligence or willful misconduct.

12. Indemnification

You agree to indemnify and hold harmless Locale 32, its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

13. Modifications to the Services and Terms

We may modify, suspend, or discontinue any part of the Services, including the list of participating cafés or specific offers, at any time without liability to you. We may also update these Terms from time to time; material changes will be reflected by updating the "Last updated" date above. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

14. Termination

We may suspend or terminate your account and access to the Services at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to other users, participating cafés, or Locale 32.

15. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
